Terms of Service

These Terms of Service ("Terms") govern your use of DexterDesk (the "Service"), operated by Chadwick Dobson as a sole proprietorship in Michigan, United States ("we," "our," or "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

DexterDesk is a subscription-based AI assistant ("DEXTER") available on the web at dexterdesk.com and as an iOS application. DEXTER connects to your Gmail, Google Calendar, Google Tasks, and (optionally) your school's D2L Brightspace LMS to help with email triage, schedule management, assignment tracking, and personal productivity. The Service is provided as-is and may evolve over time.

2. Eligibility

You must be at least 18 years old to use DexterDesk. By creating an account, you confirm that you are 18 or older.

3. Account and Security

You are responsible for maintaining the security of your account credentials and for any activity under your account. Notify us immediately at cdchaddobson@gmail.com if you suspect unauthorized access.

4. Subscriptions and Billing

• Available plans:
  • Standard — $18.99 USD per month, billed monthly
  • Yearly — $99.99 USD per year, billed annually (effective ~$8.33/month)
  • Student — $13.99 USD per month, billed monthly, requires a verified .edu email address or equivalent academic institution domain
• Free trial: New accounts include a 7-day free trial. A valid payment method is required to start the trial. You may cancel at any time during the trial to avoid being charged.
• Renewal: Subscriptions automatically renew at the end of each billing period (monthly or annually) at the then-current rate unless you cancel before the renewal date.
• Cancellation: You can cancel at any time from your account settings. Your access continues through the end of the current billing period; no partial refunds are issued for partial months or partial years unless required by law.
• Voice usage cap: Each subscription includes up to 40,000 characters of text-to-speech per month. If you reach the cap, DEXTER's responses will be delivered as text only until your next billing cycle resets the meter.
• Price changes: We may change pricing with at least 30 days' notice via email.
• Payment processing: All payments are processed by Stripe. Subscriptions purchased through the web are governed by these Terms and Stripe's terms. Subscriptions purchased through the Apple App Store (if applicable in the future) are also governed by Apple's media services terms.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Send spam, harassment, or any unlawful content
• Attempt to reverse engineer, scrape, or interfere with the Service
• Resell, sublicense, or share your account credentials with other users
• Use the Service to build a competing AI assistant product

6. Your Content and Data

You retain all rights to your data, including conversation history, memory files, and content from your connected Google accounts. By using the Service, you grant us a limited license to access, store, and process this data solely to provide and improve the Service for you. We do not use your data to train AI models.

7. Service Availability

We aim for high availability but do not guarantee uptime. The Service may be interrupted for maintenance, updates, or events outside our control. No refunds are issued for routine downtime.

8. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. DEXTER's suggestions, summaries, and actions are generated by AI and may be incorrect — you are responsible for verifying important information before acting on it.

9. Limitation of Liability

To the maximum extent permitted by law, DexterDesk and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Total liability is limited to the amount you paid in the 12 months preceding the event giving rise to the claim.

10. Termination

We may suspend or terminate your account if you violate these Terms, fail to pay, or for any other reason at our discretion. You may close your account at any time by emailing cdchaddobson@gmail.com.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email. Continued use of the Service after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict of law provisions. Disputes will be resolved in the state or federal courts located in Michigan.
